Nancy Fallon-Houle owns Velocity Law, a boutique business transactions & corporate law firm in Downers Grove, IL since 1998, with 2 employees. Before that, Nancy was a corporate, securities and M&A lawyer for 12 years at “biglaw” firm Katten Muchin, downtown Chicago, from 1986 to 1998.

Business Transactions. Nancy handles the legal work for Sale of business, Buying a business, and the related deal documents, such as Letter of Intent, Asset Purchase or Stock Purchase Agreement, deal structure and negotiation, helping the client prepare the business for due diligence responses (or inquiries) in a business sale or an investor capital raise.

Securities Law. She handles the investment deal docs, securities law disclosure docs and transaction negotiations for a company’s Capital Raise from an investor. Nancy handles securities law matters and corporate legal work for Issuers raising private investor capital in seed round, angel round or next stage rounds of financing, and business entity matters. She handles SEC Form D, Regulation D exemption conditions and filing compliance, and state securities law Blue Sky filing compliance.

Corporate Law, Corporate Governance, Business Contracts. On the corporate law & business law side, she handles Corporate Governance, Corporate “cleanup”, and general counsel-type items for businesses. She writes Shareholder, Partner & LLC agreements (and liaison with the business owner’s estate planning lawyer). Nancy handles contracts for the business’s customers, clients, vendors & suppliers, alliance partners or business partners. She assists companies with the agreements to add or remove a partner of a business or an investment. She writes Nondisclosures (NDAs) & noncompete agreements, as well as Equity Compensation for executives and key employees (from both executive side and company side).

Incorporations and LLCs. Nancy handles Incorporations and LLC formations (on a flat fee in most situations). One area of her law practice focuses on Startup businesses, and the legal complexities that can arise for them. Startup law is a unique legal skillset, especially if the business will raise investor money.

Plain English Writing. Nancy writes legal documents in Plain English.
